Terms of Service

These Terms of Service ("Terms") govern your access to and use of Cite AIand its related services (collectively, the "Service"), operated by Bestall Ventures, LLC ("Bestall Ventures," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.

1. The Service

Cite AI provides an answer-engine optimization platform that monitors how brands and content appear in AI-generated responses across large language model providers including OpenAI, Anthropic, Google, and Meta. Features include query monitoring, citation tracking, sentiment analysis, risk diagnostics, and reporting.

2. Accounts and Registration

You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must notify us immediately at info@usecite.ai if you suspect unauthorized access. Each workspace (organization) may have multiple users; the account owner is responsible for ensuring all users comply with these Terms.

3. Acceptable Use

You agree not to:

• Sublicense, resell, or make the Service available to parties outside your organization without our written consent
• Reverse engineer, decompile, or attempt to extract the source code of the Service
• Use the Service to store or transmit malicious code or to violate any applicable law
• Scrape or systematically extract data from the Service beyond normal product usage
• Circumvent any access controls, rate limits, or query limits associated with your plan

4. Subscription Plans and Payment

The Service offers a cardless 14-day free trial with specific query and project limits. Upon expiration of the trial, you must subscribe to a paid plan (Starter, Pro, Agency, or Custom) to continue using the Service at its corresponding limits.

All subscription fees are billed in advance at the start of each billing period. Prices listed on our website are exclusive of applicable taxes; taxes are calculated and collected by our payment processor based on your billing address and jurisdiction.

When you purchase a subscription, you acknowledge and agree that you are authorizing recurring payments. Your subscription renews automatically at the end of each billing period unless you cancel before the renewal date. We reserve the right to change pricing with reasonable notice; any price changes will take effect at the start of your next billing period following notification.

5. Merchant of Record — Paddle

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all of our orders. When you purchase a subscription, you are transacting directly with Paddle, and charges will appear on your bank or credit card statement under the name "PADDLE.NET*" or similar.

Paddle is responsible for collecting and remitting applicable sales tax, VAT, GST, and other consumption taxes; handling customer service enquiries and returns related to billing and payment; processing payment disputes and chargebacks; and issuing invoices and receipts for your subscription payments.

By completing a purchase, you also agree to Paddle's Buyer Terms and acknowledge Paddle's Privacy Policy. For billing enquiries or tax receipts, you may contact Paddle directly via their support portal at paddle.com/support.

6. Cancellation

You may cancel your subscription at any time through the billing portal accessible from your account dashboard (Settings > Billing > Manage Billing). Cancellation takes effect at the end of the current billing period — you will retain full access to the Service until that date, after which your account will revert to a free plan with no query limits and no further charges will be made. You may also contact us at info@usecite.ai and we will process the cancellation on your behalf.

7. Refund Policy

We want you to be completely satisfied with Cite AI. Because all payments are processed by our Merchant of Record, Paddle, the following refund policy applies:

• 14-Day Money-Back Guarantee: You are eligible for a full refund on your purchase or subscription within fourteen (14) days of the transaction date. If you request a refund within this 14-day window, it will be granted without questions asked or exceptions.
• How to Request a Refund: To request a refund, please contact us at info@usecite.ai or submit a request directly through the Paddle support portal at paddle.net. Please provide your email address and/or the Paddle order ID to help us process it quickly.
• Duplicate Charges and Technical Errors: If you are charged incorrectly or experience duplicate billing due to a technical error, we will issue a full refund immediately upon verification.

All approved refunds are processed by Paddle and will be returned to your original payment method, typically appearing in your account within 5 to 10 business days.

8. Intellectual Property

All rights, title, and interest in the Service — including the platform, underlying algorithms, UI, and aggregated or anonymized data derived from Service usage — remain exclusively with Bestall Ventures, LLC. Your content (brand names, query text, domain configurations) remains yours. You grant us a limited license to process that content solely to deliver the Service to you. AI-generated answer snapshots stored in your reports are part of your account data and are not licensed to other customers.

9. Data and Privacy

Our collection and use of personal data is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to those practices.

10. Confidentiality

Each party agrees to keep the other's non-public business information confidential and not to use it for any purpose outside the performance of these Terms. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

11. Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate for material breach if the breach remains uncured for 30 days after written notice. We may suspend or terminate your account immediately for violations of the Acceptable Use section. Upon termination, your right to access the Service ends; you may request an export of your data within 30 days.

12. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY PARTICULAR RESULT WILL BE ACHIEVED.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BESTALL VENTURES, LLC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF $50 OR THE TOTAL FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify and hold harmless Bestall Ventures, LLC, its officers, directors, employees, and agents from claims, damages, and expenses (including reasonable legal fees) arising from your use of the Service, your content, or your violation of these Terms.

15. Governing Law and Disputes

These Terms are governed by the laws of the United States applicable to agreements made and performed entirely within the US. If a dispute arises, we'd prefer to resolve it by email first — reach out to info@usecite.ai and we'll do our best to sort it out quickly. If that doesn't work, disputes will be resolved in the courts of competent jurisdiction.

16. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice in the Service at least 14 days before the changes take effect. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.

17. General

These Terms constitute the entire agreement between you and Bestall Ventures, LLC regarding the Service and supersede all prior agreements. If any provision is held unenforceable, the remaining provisions remain in full force. Our failure to enforce any right is not a waiver of that right.
